These Terms of Use (“Terms”) govern your access to and use of the website we-ace.com, together with any platform, application, digital product, technology, content, functionality, coaching, mentoring, learning, assessment, leadership development, events, or other services made available by Northcap Services Private Limited.

The website we-ace.com and the services made available through it are owned, managed and operated by Northcap Services Private Limited, a company incorporated under the applicable laws of India (“Company”, “WeAce”, “We”, “Us or “Our”).

For the purposes of these Terms, “You”, “Your” or “User” means any individual or organization accessing, browsing, registering for, or using the Website or Services.

These Terms, together with our Privacy Policy and any other applicable policies, guidelines, program-specific terms, service agreements or supplemental terms communicated to You, constitute the agreement between You and the Company in relation to Your use of the Website and Services.

About WeAce and Our Services

WeAce provides technology-enabled leadership, coaching, mentoring, learning, assessment and talent development solutions to individuals, organizations and their employees, leaders and teams. Our Services may include, depending on the offering purchased or made available to You, leadership coaching, mentoring, learning and development programs, performance accelerators, assessments, digital coaching solutions, including Nexa AI Coach, internal mentoring solutions, leadership development programs, events, roundtables, research, content and related professional development services.

Certain Services may be provided directly by WeAce, while others may be delivered with the assistance of independent coaches, mentors, facilitators, consultants, trainers, technology providers or other third-party service partners (“Service Partners”). The availability of particular Services, features and functionalities may vary depending on the program, subscription, organization, geography, user type and commercial arrangement applicable to You.

Acceptance of these Terms

Your access to and use of the Website or Services constitutes Your acceptance of these Terms. If You access or use the Services on behalf of a company, organization or other legal entity, You represent and warrant that You have the authority to bind that entity to these Terms. In such circumstances, “You” and “Your” shall also refer to that entity. If You do not have such authority, You must not access or use the Services on behalf of that entity. These Terms apply to both registered and unregistered users. Certain features may only be available to registered users, customers, employees or participants of specific programs.

Eligibility

  • WeAce does not knowingly provide Services to individuals below the age of 18.

User Responsibilities

While using the Website or Services, You agree to:

You must not use the Services if You have previously been suspended or removed from them unless WeAce has expressly permitted Your return.

You remain responsible for the User Content that You submit. By submitting User Content, You represent and warrant that You have the necessary rights, permissions and authority to provide that content and that its submission or use by WeAce in accordance with these Terms does not violate any law or third-party rights. You must not upload or share information that You are prohibited from disclosing or that You do not have the right to disclose.

Rights to Use User Content

To the extent necessary for us to provide and operate the Services, You grant WeAce a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, display, transmit and otherwise use Your User Content solely for the purposes of providing, maintaining, securing and improving the applicable Services, or as otherwise permitted by Your agreement with WeAce. This license does not transfer ownership of Your User Content to WeAce. Where Your content is provided to us in connection with a specific professional service, coaching, mentoring, assessment or organizational program, its use will also be governed by the applicable commercial or program terms. WeAce may remove, restrict or disable access to User Content where we reasonably believe that it violates these Terms, applicable law, third-party rights or our policies.

Public Content

If You voluntarily post or share content publicly through a feature of the Website, You acknowledge that such content may be visible to other users or third parties depending on the relevant functionality and Your settings. You should carefully consider what information You choose to make publicly available. WeAce recommends that You do not publicly disclose sensitive personal information, passwords, financial information, private contact information or other information that You would not want to be publicly accessible.

Coaching, Mentoring and Professional services

WeAce may facilitate coaching, mentoring, leadership development, learning and related professional services through its platform and Service Partners. Coaches, mentors, facilitators and other Service Partners may be independent professionals and are responsible for the professional advice, views, methodologies and information they provide within their respective engagements. WeAce does not guarantee any particular professional, career, leadership, business or personal outcome from participating in a coaching, mentoring, learning or development program. Unless expressly stated otherwise in writing, WeAce does not provide medical, psychiatric, legal, financial or other regulated professional advice through its Services. Users should seek appropriate qualified professional advice where required.

Coaching Session Recordings

Unless expressly agreed otherwise for a particular Service, WeAce does not record or transcribe coaching or video sessions. Where a specific program requires recording or transcription, WeAce will provide appropriate notice and, where required, obtain the necessary consent before doing so. Any such processing will be subject to the applicable Privacy Policy and program-specific terms.

Nexa AI and AI-Enabled Services

WeAce may provide AI-enabled features and services, including Nexa AI Coach. AI-enabled Services may generate responses, recommendations, summaries, prompts or other outputs based on information provided by the User and the functionality of the relevant Service. AI-generated outputs may not always be accurate, complete or appropriate for every situation. You should exercise reasonable judgment and, where appropriate, obtain advice from a qualified professional before relying on AI-generated information for material decisions.

WeAce does not use User conversations or prompts submitted to Nexa AI for training its AI models. WeAce also does not permit its AI technology providers to use such User data for training their general AI models, subject to the contractual and technical arrangements applicable to the relevant Service. Nexa AI may use third-party technology infrastructure or AI service providers to process information for the purpose of delivering the requested functionality. Such processing is subject to applicable contractual, security and privacy safeguards.

Enterprise and Organizational Programs

WeAce may provide Services to organizations, employers or other institutional customers. Where You access WeAce Services as part of an organization-sponsored program, the organization may have administrative or reporting rights as agreed under the applicable commercial arrangement. The nature of information available to an organization may vary depending on the Service and contractual arrangement. Unless expressly agreed otherwise, individual coaching conversations are intended to remain confidential and are not provided to an employer as session transcripts or recordings. Organizational reporting may include appropriate program-level information such as participation, utilization, completion, engagement, aggregated insights, assessment results or other information specifically agreed as part of the applicable program. WeAce will process and disclose information in accordance with the applicable Privacy Policy, contractual arrangements and applicable law.

Third-Party Services and Service Partner

WeAce may use third-party technology providers, infrastructure providers, payment providers, analytics providers, communications providers, AI technology providers and other Service Partners to operate and deliver the Services. The Website or Services may also contain links to or integrations with third-party websites, applications, products or services. Third-party services are governed by their own terms and privacy policies. WeAce is not responsible for the availability, security, accuracy or practices of third-party websites or services that are outside our reasonable control.

Analytics and Technology

WeAce may use technologies such as cookies, pixels, tags and similar technologies to understand how users interact with the Website, maintain functionality, improve the user experience and measure the effectiveness of our communications and marketing activities. No Reliance on Information

Paid Services

Payments

Where payments are made through the Website or a third-party payment provider, payment processing may be handled by the relevant payment service provider. WeAce does not intend to store complete debit card or credit card information on its own systems where payment processing is handled by third-party payment providers. You agree to provide accurate billing and payment information and to comply with the applicable payment provider's terms.

Cancellation and Refund

Cancellation and refund rights will depend on the nature of the Service purchased and the terms communicated at the time of purchase. Where a Service-specific cancellation or refund policy applies, that policy will govern. Limitation of Liability

For paid Services, where legally permissible, WeAce's aggregate liability arising directly from the relevant Service will not exceed the fees actually paid by You or on Your behalf for that Service during the twelve-month period immediately preceding the event giving rise to the claim.

Indemnification

To the maximum extent permitted by applicable law, You agree to indemnify and hold harmless WeAce, Northcap Services Private Limited, its affiliates, directors, officers, employees, representatives, licensors and Service Partners from claims, liabilities, damages, losses, costs and expenses, including reasonable legal fees, arising from:

WeAce reserves the right to modify event schedules, speakers, venues, formats or other arrangements where reasonably necessary.

Where You receive confidential information belonging to WeAce, another User, a Service Partner or an organization through the Services, You agree to maintain its confidentiality and use it only for the purpose for which it was disclosed. This obligation does not apply to information that is publicly available through no breach of these Terms, was lawfully known to You before disclosure, or is required to be disclosed by law or competent authority. Additional confidentiality obligations may apply under a separate agreement, including an NDA, employment arrangement, enterprise agreement or program-specific agreement.

Dispute Resolution

If a dispute arises between You and WeAce in connection with these Terms or the Services, the parties will first attempt to resolve the dispute amicably by contacting us at [email protected]. If the dispute cannot be resolved amicably, it shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed in accordance with applicable law and the place/seat of arbitration shall be New Delhi, India, unless otherwise agreed in writing. Subject to the arbitration provision above, the courts located in Delhi, India shall have jurisdiction over matters arising out of or relating to these Terms, to the extent permitted by applicable law.

We will acknowledge complaints or grievances within a reasonable period and will endeavour to address them in accordance with applicable law and our internal procedures.
